Membership Agreement

FREEDOM QUEST USA DISTRIBUTOR AGREEMENT

I hereby apply to become an Independent Distributor with Freedom Quest USA, the marketing division of Southern Heritage, Inc. (Hereinafter "Freedom Quest USA") and to participate in its retail-marketing program. As an Independent Distributor, I understand and agree that:

I am legal age in the jurisdiction in which I enter into this agreement and I have a valid Social Security Number.
Upon acceptance of this agreement by Freedom Quest USA I will be an Independent Contractor, responsible for my own business and not an employee of Freedom Quest USA. I will not be treated as an employee with regard to any State or Federal laws concerning employees, including, but not limited to, the Federal Insurance Contribution Act, Workman's Self-Employment State and Federal Income Taxes as required by law. I also agree not to represent anyone or hold myself out to be an employee of Freedom Quest USA.
A Distributor is an Independent business person and does not hold a franchise or partnership, nor is the Distributor involved in a joint venture with Freedom Quest USA and as such will be responsible for all cost incurred by the Distributor in the sale and distribution of all products and/or services.
The Distributor shall not enter into any other agreement or make any purchases in the name of Freedom Quest USA. A Distributor should use only Freedom Quest USA approved materials.
A Distributor does not have the authority to waive, change, or modify a service in any way. Furthermore, no modification of any service is binding upon Freedom Quest USA.
There are no Territory exclusives. Any Distributor may sell products/services in any area in which Freedom Quest USA is authorized to do business.
Prior written approval from Freedom Quest USA's President is required for the following:
1. To advertise Freedom Quest USA products/Company.
2. To use or produce sales materials other than Freedom Quest USA produced materials relating to the products/Company.
3. To promote or promise any compensation to anyone other than what is stated on Freedom Quest USA copyright material.
A Distributor shall not represent or imply, directly, that Freedom Quest USA Program has been approved or endorsed by any government agency. Federal and State regulatory agencies do not approve or endorse marketing products or programs.
Freedom Quest USA shall not be responsible for act beyond its control, including, but not limited to fire, flood, earthquake, storms, power outage, labor difficulty, equipment failure, supplier problems, or other difficulties that might prevent performance according to this agreement.
A Distributor agreement with Freedom Quest USA may be terminated with written notice for the following reasons:
1. Making statements to anyone with claims contrary to Freedom Quest USA written literature.
2. Committing fraudulent acts.
3. Failure to comply with this agreement.
A Distributor may terminate this agreement at any time by giving Freedom Quest USA written notice. Freedom Quest USA agrees to repurchase from a resigning or terminating Distributor from Freedom Quest USA within the previous one year, which are unused and in commercially resalable condition, for not less that 90 percent of the actual amount paid by the Distributor for the products and sales aids which are being returned.
Any sale of a business center must be approved by Freedom Quest USA and the new Independent Distributor is bound to all Freedom Quest USA terms and conditions.
Agreement to Arbitrate: I agree that I will give notice in writing of any claim or dispute arising out of or relating to my Freedom Quest USA Distributorship, or any Freedom Quest USA products or service, to the proper Freedom Quest USA representative or party, specifying the basis for my claim or dispute and the amount claimed or relief sought from the dispute. I will then try in good faith to resolve this dispute or claim with Freedom Quest USA. If the claim or dispute is not resolved to my satisfaction within ninety (90) days or after the attempt to resolve the matter with Freedom Quest USA is complete, whichever is later, I agree to submit any remaining claims or disputes arising out of relating to my Freedom Quest USA Distributorship in accordance with the arbitration rules of the American Arbitration Association (AAA). Any arbitration awarded by a properly impaneled arbitration board under the rules of AAA shall be final and binding and judgement thereon may be entered by any Court of complaint jurisdiction. Demand for arbitration shall be made within two years after the issue has arisen, but in no event after the date when the initiation of legal proceedings would have been barred by the applicable statue of limitations. I agree that if I become involved in a claim or dispute under the Freedom Quest USA AAA rules, I will not disclose to any person not directly involved in the arbitration process (a) the substance of, or basis for, the claim; (b) the content of any testimony or other evidence presented at the arbitration heating or obtained through discovery; or (c) the terms or amount of any arbitration award.
This agreement shall be governed by the Laws of the State of Alabama and all claims, disputes, and other matters between the parties of this agreement that does get resolved through dispute resolution or arbitration shall be brought in before the appropriate state court in the County of Mobile, Alabama, U.S. District Court for the Southern District of Alabama and the partied hereto further consent to venue jurisdiction in those courts. Louisiana residents may choose Louisiana law, Louisiana jurisdiction, and may arbitrate in New Orleans.
Freedom Quest USA is not responsible for applications having incorrect information.
Freedom Quest USA reserves the right to change the compensation program at any time.
These terms and conditions, the materials regarding Freedom Quest USA and the Policies and Procedures constitute the entire agreement between the Distributor and Freedom Quest USA no other additional promises of any kind shall be bindin g and contractible unless written and signed by the Freedom Quest USA President.
